1. Agreement and provider

These Terms of Use ("Terms") govern your access to TREX, including its website, hosted application, APIs, integrations, feedback widgets and related services (the "Service"). The Service is provided by Rock Application Systems, LLC ("Rockapps," "we," "us" or "our"). Our contact email is contact@rockapps.com.br.

By accepting these Terms or using the Service, you agree to them. If you use TREX on behalf of an organization, you represent that you have authority to bind it, and references to the customer include that organization. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering this agreement. A separately signed agreement or order governs a conflicting provision within its scope. Mandatory rights under applicable law remain unaffected.

2. What TREX provides

TREX is a workspace platform for strategy and OKRs, projects and tasks, sprints and planning, CRM, contracts and financial tracking, research and feedback, knowledge and collaboration, reporting and AI-assisted work. Available tools, access controls, usage limits and integrations depend on the plan, configuration and permissions applicable to your workspace.

TREX's financial and contract tools organize information; they are not banking, payment-transmission, investment, accounting or legal advisory services. You remain responsible for the accuracy of your records, filings, contracts and business decisions.

We may maintain, update or change the Service. We will provide notice where required by law or an applicable agreement. A roadmap, screenshot, demonstration or preview is not a commitment to deliver a feature, a particular result or a service-level guarantee.

3. Accounts and security

Provide accurate account information and keep it current. Protect your password, session, recovery methods, API keys and connected-client credentials. Use the available security controls and notify contact@rockapps.com.br promptly if you suspect unauthorized access.

You are responsible for activity you authorize through your account and integrations. Do not share credentials to bypass seat charges or access restrictions, impersonate another person, or use an account you are not entitled to access. We may verify account ownership or authority before acting on a security or administrative request.

4. Workspaces, roles and customer responsibilities

A workspace owner manages the workspace and subscription. Owners and authorized administrators may invite or remove users, configure roles and tools, and manage access to workspace records. Members and guests receive access according to their assigned permissions. Joining an organization's workspace does not give you personal ownership of that organization's business records.

The customer is responsible for its invitations, permissions, lawful use of employee and customer information, and instructions to TREX. Obtain the permissions and provide the notices necessary to upload, share or process information about other people.

An organization that installs a feedback widget is responsible for its placement, visitor notices and any required consent. It must not use the widget to obtain information it is not authorized to collect. Users should review screenshots and recordings before submitting them.

5. Plans, billing and renewals

TREX offers free and paid plans. The plan, price, currency, billing interval, billable-seat rules, applicable taxes and any trial or promotion shown at checkout or in your order determine the commercial terms of your subscription. Public pricing is informational until you complete the applicable purchase. Unless expressly stated otherwise, published TREX prices are in US dollars.

Paid subscriptions may be charged per billable workspace seat. The workspace owner is responsible for managing seats and understanding the billing effect of adding or removing members. Changes may create prorated charges or credits according to the billing flow and subscription terms shown to you.

Stripe processes subscription payments. You authorize the disclosed recurring charges to the payment method you provide. Monthly and annual subscriptions renew for their selected billing interval unless canceled before renewal through the available billing controls or with our assistance.

Keep billing information current. Unpaid charges may result in restricted paid features or suspension after any notice or grace period required by the applicable agreement or law. We will give advance notice of price changes for future renewals as required by law or your agreement.

6. Trials, cancellation and refunds

A free plan is distinct from a time-limited trial of paid features. A trial's duration, available features, payment requirements and any conversion to a paid subscription are those disclosed when you start it. Do not assume every trial has the same conditions.

You can request cancellation using the workspace billing tools or by contacting contact@rockapps.com.br. Cancellation takes effect as described in the billing confirmation, generally at the end of an already-paid billing period. Canceling a subscription does not automatically delete an account or workspace.

Unless a specific offer, agreement or applicable law provides otherwise, charges for a billing period already started are not refundable or prorated simply because you stop using the Service. This does not limit a statutory withdrawal right, a remedy for a defective service or another mandatory consumer right. Contact us about billing errors or a refund request.

After a downgrade, trial expiration or cancellation, paid tools and quotas may no longer be available. Review usage and use available export controls before a change takes effect. Any access restriction or grace period shown in the application does not create a general promise to retain data for a fixed period.

7. Customer content and ownership

You or your organization retain your rights in the content you submit to TREX ("Customer Content"). These Terms do not transfer ownership of your projects, documents, contacts, financial records or other business information to Rockapps.

You grant us the limited rights necessary to host, store, copy, transmit, display and process Customer Content to provide and secure the Service, support your use, follow authorized instructions and meet legal obligations. This includes processing by service providers and integrations required for the features you use, as described in the Privacy Policy.

You are responsible for the rights, accuracy and lawfulness of Customer Content. Do not upload information that you are prohibited from processing or transferring. Do not submit highly sensitive or specially regulated data that requires safeguards or agreements not established for your use of TREX.

Use available exports and maintain independent copies of information critical to your operations. Archiving, removing access and deleting content are different actions; deletion may be irreversible.

8. AI features and generated output

AI features use external model services and relevant workspace context to generate text, summaries, analysis and proposed actions. Requests may consume tokens or other plan allowances. Limits and model availability can change with the applicable plan or service configuration.

AI output may be inaccurate, incomplete, outdated or similar to output provided to another user. Review it for accuracy, confidentiality, intellectual-property rights and suitability before sharing or acting on it. Output is not professional advice or a guarantee of a business outcome.

Some AI features and connected agents can create, change or delete workspace records when authorized. Review the requested action and any confirmation presented; you are responsible for actions you approve and for the permissions you grant to automated clients.

As between you and Rockapps, you retain your rights in your inputs. Rockapps does not claim ownership of generated output delivered to you and assigns to you any rights it may hold in that output, to the extent permitted by law and applicable provider terms. We do not warrant that output is unique, copyrightable or free of third-party rights.

9. Integrations, APIs and third parties

Connecting Google Calendar, an API client, an MCP client or another third-party service authorizes access within the permissions you grant. You are responsible for selecting trustworthy services and revoking access when it is no longer needed. Third-party providers have their own terms, privacy practices, availability and limits.

Do not bypass authorization, workspace boundaries, quotas or technical restrictions. External APIs and services may change or become unavailable, affecting an integration. TREX does not control a third party's performance or independently guarantee its services.

Google Calendar access is optional and read-only in the current integration. Revoking access prevents future authorized synchronization but is not a request to delete every record already stored in TREX. Refer to the Privacy Policy for data handling and deletion requests.

10. Acceptable use

Use the Service lawfully and respect other users and third parties. You must not:

  • Upload unlawful, infringing, fraudulent or abusive content, or disclose personal or confidential information without authority.
  • Distribute malware, phishing messages or spam; harass others; or use the Service to facilitate unlawful activity.
  • Attempt to access another customer's workspace, evade authentication, exploit vulnerabilities, disrupt availability or extract data beyond your authorization.
  • Circumvent seat charges, rate limits, plan quotas or security controls, including by sharing accounts or creating accounts to abuse a trial.
  • Reverse engineer or misuse the Service in breach of applicable law, remove proprietary notices, or resell access without authorization.
  • Use AI or automated clients to make unlawful decisions about people or carry out actions you are not authorized to perform.
  • Report abuse or a security concern

11. Our intellectual property

Rockapps and its licensors retain rights in the TREX software, service design, branding and other materials we provide, excluding Customer Content and rights expressly granted to you. Subject to these Terms, you receive a limited right to use the Service for its intended purposes during your authorized access.

Third-party and open-source components remain subject to their respective licenses. You may provide suggestions voluntarily; we may use feedback about the Service without payment or attribution, but this does not permit us to disclose your confidential Customer Content.

12. Availability and support

The Service may be unavailable during maintenance, failures, security events or circumstances outside our reasonable control. Unless separately agreed in writing, these Terms do not provide a particular uptime percentage, response-time commitment, backup-recovery target or service credit.

Support availability depends on your plan and any separate agreement. Contact contact@rockapps.com.br for account, service and billing questions. Experimental or preview features may change or be discontinued and should not be your sole means of performing a critical task.

13. Suspension, termination and data access

We may restrict or suspend access where reasonably necessary to address a security threat, unlawful activity, a material breach, nonpayment or a legal obligation. Where practicable and appropriate, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be necessary to protect the Service or other users.

You may stop using the Service, cancel a subscription or request account deletion. Workspace deletion must be requested by someone with appropriate authority. Ending individual access does not necessarily end the organization's agreement or remove its business records.

After termination, access and paid features may end. Request any needed export before access ends or contact us for assistance. Retention and deletion are addressed in the Privacy Policy and any applicable agreement; these Terms do not guarantee a fixed post-termination export window.

Provisions that by their nature should survive termination, including accrued payment obligations, ownership, limitations of liability and dispute provisions, continue to apply to the extent permitted by law.

14. Disclaimers and liability

To the extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation or the accuracy of Customer Content or AI output.

To the extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special or consequential damages, or lost profits, revenue, business opportunity or goodwill arising out of this agreement. Rockapps' aggregate liability arising out of the Service is limited to the fees paid or payable by the customer for the affected Service in the 12 months preceding the event giving rise to the claim.

These exclusions and limits do not apply to fraud, intentional misconduct or any liability that applicable law does not allow to be excluded or limited. They do not eliminate mandatory consumer remedies or data-protection rights. Your obligation to pay properly incurred subscription charges remains unaffected.

15. Applicable law and disputes

If a dispute arises, contact contact@rockapps.com.br with a description of the issue so we can attempt a good-faith resolution. This does not prevent urgent relief, a complaint to a regulator, or exercising rights within a statutory deadline.

Unless a separately signed agreement validly specifies otherwise, applicable conflict-of-laws and jurisdiction rules determine the governing law and competent courts. These Terms do not impose mandatory arbitration or a class-action waiver. Mandatory protections in the jurisdiction applicable to you are preserved.

16. Changes and general provisions

We may update these Terms. The revision date appears at the top, and material changes will be communicated as required by applicable law or agreement. If additional acceptance is required, we will request it. Changes do not remove rights that cannot lawfully be waived.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer this agreement or resell your subscription without our consent, except where applicable law permits; we may transfer it as part of a legitimate business reorganization or transfer, subject to applicable obligations.

These Terms, the applicable subscription or order terms, and any separately executed agreement govern the Service. The Privacy Policy describes personal-information handling and does not transfer ownership of Customer Content. These Terms are published in English for all website languages.
